Terms & Conditions – ZavaVault

These Terms and Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “Customer”), and Zavakar Inc. (“Zavakar,” “we,” “us,” or “our”), concerning your access to and use of the Zavakar ecosystem, including the WIG (Workigo) application, the ZavaVault rewards system, and professional services related to ZAVASuite – ERPNext implementation (collectively, the “Services”).

  1. ACCEPTANCE OF TERMS

By accessing the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

  1. DESCRIPTION OF SERVICES

Zavakar provides a unified digital operational standard for the construction industry and SMEs. This includes:

  • Workforce Verification: Tools for credential and identity management (WIG).
  • Financial Rewards & Points: Systems for tracking and securing professional incentives (ZavaVault).
  • ERP Services: Professional support, configuration, and implementation of the ERPNext platform and its integration with Zavakar protocols.
  1. ALPHA STAGE & “AS-IS” DISCLAIMER

The Services are currently in an “ALPHA” development stage. * Developmental Nature: You acknowledge that the Services are for testing, evaluation, and early-access purposes.

  • No Warranty: The Services are provided on an “AS-IS” and “AS-AVAILABLE” basis. Zavakar makes no representations or warranties of any kind, express or implied, as to the operation of the Services or the information, content, or materials included therein.
  • Service Interruptions: Zavakar reserves the right to modify, update, or discontinue features without notice. We are not liable for any loss of data or business interruption during this development phase.
  1. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Services and all source code, databases, functionality, software, website designs, audio, video, text, and graphics (collectively, the “Content”) and the trademarks and logos contained therein (the “Marks”) are owned or controlled by us.

  • Proprietary Logic: Our unique synchronization protocols and backend “Zavakar Standard” are strictly confidential and proprietary.
  • Prohibited Acts: You may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit our Content for any commercial purpose whatsoever.
  • No Reverse Engineering: You are strictly prohibited from attempting to decompile, reverse-engineer, or disassemble any part of the software or protocols.
  1. USER REPRESENTATIONS & DATA

By using the Services, you represent and warrant that:

  • All registration information you submit is true, accurate, current, and complete.
  • You are a business entity or a professional operating in a business capacity.
  • Your use of the Services does not violate any applicable law or regulation in Canada or the USA.
  • Verification Liability: While Zavakar provides tools for verification, the Customer (the Construction Company) remains solely responsible for the final hiring, safety, and legal compliance of their professionals.
  1. ERPNEXT THIRD-PARTY INTEGRATION

Zavakar provides implementation support for ERPNext.

  • Third-Party Ownership: ERPNext is an independent third-party platform. Zavakar is not responsible for the uptime, core software bugs, or security vulnerabilities inherent to the ERPNext platform itself.
  • Support Limits: Our support is limited to the configuration and the integration bridge between Zavakar and the ERP environment.
  1. LIMITATION OF LIABILITY

In no event will Zavakar or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the services, even if we have been advised of the possibility of such damages.

Our liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

  1. PRIVACY AND DATA SECURITY

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to the hosting and processing of your data in Canada and/or the United States, where data protection laws may differ from other jurisdictions.

  1. TERMINATION

We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services to any person for any reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms.

  1. GOVERNING LAW

These Terms and your use of the Services are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable to agreements made and to be entirely performed within the Province of Alberta.
